Licence Agreement
NOTICE TO USERS: CAREFULLY READ THE FOLLOWING LICENSE AGREEMENT. USE OF THE
SOFTWARE PROVIDED WITH THIS AGREEMENT (THE "SOFTWARE") CONSTITUTES
YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT,
DO NOT INSTALL AND/OR USE THIS SOFTWARE.
1. LICENSE GRANT.
TRIAL LICENSE
You are licensed to use the trial version of the SOFTWARE for the trial period
(10 days); make as many copies of the unregistered trial version of this software
as you wish; give exact copies of the original unregistered trial version to
anyone; and distribute the unregistered trial version of the software in its
unmodified form via electronic means.
The SOFTWARE may not be sold for a fee, either alone or as part of a collection
with other products, without prior permission of MGDSoftware.
If, after the trial period, you choose not to register the SOFTWARE, you must
uninstall it from any machines to which it was installed. This "trial version"
can be turned into a fully registered copy by registering the software on our
website.
REGISTERED COPY LICENSE
When you register the SOFTWARE, you will receive a personal registration code
that will enable you to change the trial version of the SOFTWARE into the full
registered version. You agree not to distribute your registration code to others
and to use it only for your own personal use of the SOFTWARE. Any unauthorized
distribution of your registration code will result in immediate and automatic
termination of your license.
One licensed copy of the SOFTWARE may either be used by a single person who
uses the SOFTWARE personally on one or more computers, or installed on a single
workstation used non simultaneously by multiple people, but not both.
You may access the program through a network, provided that you have obtained
individual licenses for the software covering all workstations that will access
the software simultaneously through the network. For instance, if 8 different
workstations will access the program simultaneously on the network, each workstation
must have its own license.
2. OWNERSHIP.
The SOFTWARE is owned and copyrighted by MGDSoftware. Your license confers
no title or ownership in the SOFTWARE and should not be construed as a sale
of any right in the SOFTWARE .
3. COPYRIGHT.
The SOFTWARE is protected by copyright law and international treaty provisions.
You acknowledge that no title to the intellectual property in the SOFTWARE is
transferred to you. You further acknowledge that title and full ownership rights
to the SOFTWARE will remain the exclusive property of MGDSoftware and you will
not acquire any rights to the SOFTWARE except as expressly set forth in this
license. You agree that any copies of the SOFTWARE will contain the same proprietary
notices which appear on and in the SOFTWARE.
4. REVERSE ENGINEERING.
You agree that you will not attempt to reverse compile, modify, translate, or
disassemble the SOFTWARE in whole or in part.
5. NO OTHER WARRANTIES.
MGDSOFTWARE DOES NOT WARRANT THAT THE SOFTWARE IS ERROR FREE. MGDSOFTWARE
DISCLAIMS ALL OTHER WARRANTIES WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT OF THIRD PARTY RIGHTS.
6. SEVERABILITY.
In the event of invalidity of any provision of this license, the parties agree
that such invalidity shall not affect the validity of the remaining portions
of this license.
7. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.
IN NO EVENT SHALL MGDSOFTWARE OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL,
SPECIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY,
PERFORMANCE OR USE OF THE SOFTWARE, EVEN IF MGDSOFTWARE HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL MGDSOFTWARE'S LIABILITY EXCEED
THE LICENSE FEE PAID BY YOU, IF ANY.
8. GOVERNING LAWS.
This agreement shall be governed by the laws of the United Kingdom.
9. ENTIRE AGREEMENT.
This is the entire agreement between you and MGDSoftware which supersedes any
prior agreement or understanding, whether written or oral, relating to the subject
matter of this license.
10. RESERVED RIGHTS.
All rights not expressly granted here are reserved to MGDSoftware.
